These terms are an agreement between you and Zap Development Ltd (“we”, “us”, “our”), the provider of Kempt (“the service”). By creating an account or using Kempt, you agree to them. If you don’t agree, please don’t use the service.

01What Kempt is
Kempt is a bookkeeping and financial-admin tool for freelancers, contractors, one-person limited companies and small partnerships in the UK. It helps you record income and expenses, raise invoices, track mileage, keep payroll records, and prepare figures for VAT, Corporation Tax and Self Assessment so you can hand them to your accountant or use them in your own filings.
02Who can use it
You must be at least 18 and using Kempt for your business or professional activities. Kempt is not a consumer product and is not intended for personal or household accounts.
03Your account
You’re responsible for the information you give us being accurate, for keeping your login details secure, and for everything that happens under your account. We strongly recommend you turn on multi-factor authentication. Tell us promptly at hello@kempt.me if you think your account has been accessed without your permission.
04Kempt is a tool, not advice
Kempt helps you organise your own financial records and prepare figures. It does not provide accounting, tax, legal or financial advice, and it is not a substitute for a qualified accountant or adviser.
The numbers Kempt shows you — including any estimates of tax due, amounts “safe to withdraw”, VAT figures or profit — are calculated from the information you enter, using general rules and rates. They are there to help you and your accountant, not to be relied on as a definitive statement of what you owe or can do.
You are responsible for your own records and for any returns or submissions you make to HMRC, Companies House or anyone else. Kempt does not file anything on your behalf. Before you submit or pay anything, check the figures and, where it matters, take professional advice. We are not responsible for decisions you make, or filings you submit, based on what Kempt shows you.
05Acceptable use
Please don’t misuse the service. In particular, don’t: break the law or infringe anyone’s rights; attempt to access other users’ data or our systems without authorisation; probe, scan or test the security of the service except as expressly permitted; upload malware or harmful content; or disrupt or place an unreasonable load on the service. We may suspend or close accounts that do.
06Your data and ours
You keep ownership of the data you put into Kempt. You grant us the limited permission needed to host, process and display it so we can provide the service to you. How we handle personal data is set out in our Privacy Policy. You can export your data from within Kempt at any time.
We own Kempt itself — the software, design, branding (including the Kempt name and logo) and everything that makes up the service. These terms don’t give you any rights in it beyond the right to use it as intended.
07Price
Kempt is currently free to use. We may introduce paid plans or charges in the future; if we do, we’ll give you clear notice beforehand and you’ll be able to choose whether to continue on any paid terms. We won’t start charging you for something you’re using for free without telling you first.
08Availability
We work to keep Kempt available and reliable, but we don’t promise it will be uninterrupted or error-free. We may carry out maintenance, change features, or occasionally have downtime. As Kempt is provided free of charge, we don’t offer a service-level or uptime guarantee.
09The service is provided “as is”
To the extent the law allows, Kempt is provided “as is” and “as available”, and we make no warranties of any kind — express or implied — including that it will meet your needs, be accurate, or be available at any particular time. Some warranties are implied by law and can’t be excluded; nothing in these terms removes those.
10Our liability to you
Nothing in these terms limits our liability for things that can’t be limited by law — including death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation.
Subject to that, and because Kempt is provided free of charge:
- We are not liable for any indirect or consequential loss, or for loss of profit, revenue, data, goodwill, or for any tax, interest or penalties you incur — including any arising from figures Kempt produced or from filings you made.
- Our total liability to you for any and all claims connected with the service is limited to £[CAP, e.g. 100].
You remain responsible for keeping your own records and for the accuracy of your filings (see section 4).
11Ending the agreement
You can stop using Kempt and close your account at any time. We may suspend or end your access if you break these terms, if we reasonably need to protect the service or other users, or if we decide to stop offering Kempt — in which case we’ll give you reasonable notice and a chance to export your data. Sections that by their nature should survive (including 4, 6, 9 and 10) continue to apply after the agreement ends.
12Changes to these terms
We may update these terms from time to time. If we make material changes, we’ll update the date above and let you know by email or in the app. Continuing to use Kempt after that means you accept the updated terms.
13Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute, except that if you’re based elsewhere in the UK you may bring proceedings in your local courts.
